Terms of Service

1) Agreement

These Terms govern your access to and use of JY Softwares LLC websites, products, and services (the “Services”). By using the Services, you agree to these Terms.

2) Accounts & eligibility

You must be at least 18 and able to form a binding contract. You are responsible for safeguarding your credentials and for activities on your account.

3) License & your content

We grant a limited, non-exclusive, non-transferable license to access and use the Services. You retain ownership of your content, granting us a non-exclusive license to host and process it to provide the Services. You represent you have all rights needed to submit content.

4) Acceptable use

You must comply with our Acceptable Use Policy. We may suspend or terminate accounts that violate these Terms or the AUP.

5) Pricing, billing & taxes

Pricing is shown at checkout or otherwise communicated. You authorize us and our payment processor to charge your selected payment method for purchases, subscriptions, renewals, and applicable taxes. You’re responsible for taxes or government charges that apply to your purchase.

6) Subscriptions, renewals & cancellations

Subscriptions renew automatically unless canceled before renewal. You may cancel anytime via your account or by contacting support; cancellation takes effect at the end of the current period. Except as stated in our Returns & Refunds Policy, payments are non-refundable.

7) Trials & beta features

Trials or beta features are provided “as is,” may change, and can be withdrawn at any time.

8) Third-party services

The Services may interoperate with third-party services (e.g., payment processing, analytics). We are not responsible for third-party services; separate terms may apply.

9) Intellectual property

We and our licensors own all rights in and to the Services, including software, designs, and trademarks. Except for the limited license above, these Terms grant no right, title, or interest in our IP.

10) Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11) Limitation of liability

To the maximum extent permitted by law, JY Softwares LLC and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill. Our aggregate liability arising from or relating to the Services will not exceed the greater of (a) the amounts you paid to us in the 12 months before the event or (b) USD $100.

12) Indemnification

You will indemnify and hold harmless JY Softwares LLC, its affiliates, and personnel from claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms or the AUP.

13) Suspension & termination

We may suspend or terminate your access if we reasonably believe you violated these Terms, the AUP, or law. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

14) Governing law & venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. The exclusive venue is the state or federal courts located in or serving Sheridan County, Wyoming. You and we consent to personal jurisdiction there.

15) Changes

We may modify these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use after changes become effective constitutes acceptance.
